Terms of Service
The terms on which you and your organisation may use Volery.
Last updated: 10 October 2026SPR DLX STUDIOS PRIVATE LIMITED
The short version
- Volery is provided by SPR DLX STUDIOS PRIVATE LIMITED, Hyderabad, India. Indian law applies and the courts at Hyderabad, Telangana decide disputes. Sections 1 and 15.
- Your content stays yours. We host and process it to run the platform for you, and for nothing else. Section 4.
- There is no committed uptime or support SLA. We say so plainly rather than imply one. Section 7.
- Volery is software, not an adviser: its scores, models and AI output are not investment advice. Section 9.
- Our liability is capped, and some kinds of loss are excluded on both sides — but never for fraud or personal injury. Section 11.
- You can leave at any time and take your data with you: a 30-day export window, then deletion. Section 13.
This summary is here to orient you. It does not change anything below it; where the two could be read differently, the numbered sections govern.
1. These terms
These terms are an agreement between you and SPR DLX STUDIOS PRIVATE LIMITED, a private limited company incorporated in India, which operates the Volery platform at volery.vc. “Volery” means the platform; “we”, “us” and “our” mean that company.

By creating an account, accepting an invitation to an organisation, or using the platform, you agree to these terms. If you are using Volery on behalf of a fund or company, you confirm you are authorised to accept them for it, and “you” means both you and that organisation.
If your organisation has signed a separate written agreement with us covering the platform, that agreement governs its subject matter and prevails over these terms wherever the two conflict; these terms continue to apply to everything it does not cover. Where there is no such agreement, these terms together with the Privacy Policy are the whole agreement between us about the platform.
2. Who may use Volery
Volery is for investment professionals and the founders and investors they work with. You may use it if you are at least 18 years old and either your organisation has been granted access or you have been invited into an organisation, a deal, or a meeting by someone who has. Access is not open registration into someone else’s workspace: an administrator of that organisation decides who joins it.
You are responsible for your account. Keep your credentials to yourself, do not share a login, and tell us at hello@sprdlx.co if you believe an account has been compromised.
3. Organisations, roles and invited collaborators
Data on Volery belongs to an organisation, not to an individual seat. What you can see and do is set by your role in that organisation and by the specific things you have been given access to. An administrator of your organisation can add and remove members, and can change or withdraw your access; when they do, you lose access to that organisation’s data.
External collaborators — for example a founder invited into a diligence process, or a guest invited to a meeting — are admitted to exactly what they were invited to, for as long as that invitation stands.
4. Your data, and who owns it
The content you and your organisation put into Volery remains yours. Companies, deals, documents, diligence records, fund and investor figures, messages and meeting recordings are your organisation’s data. You grant us the permission we need to host, process, transmit and display that content in order to run the platform for you — including processing it through the platform’s AI features when you use them — and for no other purpose. We do not use it to train general-purpose AI models.
We own the platform itself: the software, its design, and anything we create that is not your content. Nothing here transfers that to you, and nothing here transfers your content to us.
You are responsible for having the right to put the content into Volery in the first place — including the personal data of other people, such as founders, investors and meeting participants — and for telling them what you need to tell them about it. How we handle personal data is described in the Privacy Policy.
5. Acceptable use
You agree not to:
- access, or try to access, data belonging to an organisation you are not a member of, or data within your organisation that your role does not give you;
- probe, scan or interfere with the platform’s security, or attempt to defeat its access controls, rate limits or usage quotas;
- scrape the platform, or use automated means to extract data from it, other than through interfaces we provide for that purpose;
- upload malware, or content that is unlawful, infringing, or that you have no right to share;
- resell, sublicense or provide the platform to a third party as a service;
- use the platform’s AI features to generate content you then present as independent professional advice without your own review — the outputs are drafts and estimates, not advice.
We may suspend access that is causing harm to the platform or to other customers, and will tell you when we do.
6. The Google Calendar integration
Connecting a Google account is optional, and you choose whether to. If you connect one:
- you confirm you are entitled to connect that calendar and to have Volery read events from it and write events to it;
- you are responsible for what you choose to sync. Volery imports the start time, the end time, the event’s title, an opaque Google event identifier and a busy marker — never descriptions, locations or attendee lists. The title is shown only to you; what people in your organisation see is the times, as unnamed busy periods, and you should treat that as the disclosure it is. The Privacy Policy sets out who can see what;
- meetings you schedule in Volery are written to your own Google Calendar, and to the Google Calendar of each invitee who has themselves connected one to Volery. Volery does not add attendees to the Google event, so no Google invitation email is sent on our behalf;
- you can disconnect at any time from the Calendar page, which revokes our access and deletes the imported busy/free records.
Google Calendar is Google’s service, not ours. We depend on its availability and on the terms Google sets for it, and we are not responsible for Google’s own behaviour, outages or changes. Our use of data received through Google’s APIs is limited as set out in the Privacy Policy.
7. Availability and support
We do not offer a committed service level. There is no guaranteed uptime percentage, no service credit and no contractual response time, and you should not build a process around one. If your organisation needs a committed service level, it has to be agreed with us in a separate written agreement.
What we do commit to is care. We monitor the platform, we treat faults as a priority once we know about them, and we will give reasonable notice of planned maintenance where we can. The platform is under active development: features change, and we may add, alter or withdraw them. Where a withdrawal materially affects how you use the platform, we will tell you before it takes effect.
Support is by email at hello@sprdlx.co and through the Support Center inside the platform. We aim — as a target, not a guarantee — to acknowledge a support request within one business day, Monday to Friday, excluding public holidays in India.
8. Fees
Access to Volery is provided under a separate commercial arrangement between us and your organisation. Pricing, the billing period, payment terms and the notice we give before a price changes are set out in that arrangement. Nothing on this page sets, quotes or implies a price, and no figure stated anywhere on this site is an offer.
Where access is provided at no charge — during a pilot, an evaluation or an early-access period — we may end it, or begin charging for it, on at least 30 days’ written notice to your organisation’s administrator. Your organisation may decline by closing its account within that notice period, and section 13 governs what happens to its data if it does.
Fees agreed with your organisation are exclusive of GST and of any other tax, levy or duty that applies, which is payable in addition at the rate in force. Each party bears its own taxes on its own income.
9. No investment advice
Volery is software. Its scores, models, projections, summaries and AI-generated text are analytical outputs computed from data you supplied, and they are not investment advice, a recommendation, a valuation opinion, or a solicitation to buy or sell anything. We are not your adviser, and no fiduciary or advisory relationship arises from your use of the platform. Investment decisions are yours, and you should not make one on the basis of a platform output without your own analysis and your own professional advisers.
10. Disclaimers
We provide the platform with reasonable skill and care, and we will not knowingly ship something we believe to be broken.
Beyond that, and to the fullest extent the law allows, the platform is provided as is and as available, and we give no other warranty, condition or representation of any kind, express or implied, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, title or non-infringement.
In particular, we do not warrant that:
- the platform will be uninterrupted, timely or error-free;
- every defect will be corrected, or corrected within any period;
- it will work with every browser, device, network or third-party service, including Google Calendar;
- any figure, score, model, projection, summary or AI-generated output it produces is accurate, complete, current or fit for a decision you take on it.
Nothing in this section excludes a warranty, condition or right that the law does not allow us to exclude. Where such a right applies to you, it applies despite this section, and this section is read as limited to what may lawfully be excluded.
11. Limitation of liability
This section is how the risk of using the platform is shared. It is written to be proportionate, and it is mutual where mutuality makes sense.
What is never limited
Nothing in these terms limits or excludes either party’s liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for anything else that the applicable law does not permit to be limited or excluded. Your obligation to pay fees properly due, and each party’s obligations under section 12, also sit outside the cap below.
The cap
Subject to the paragraph above, our total liability to you and to your organisation for all claims arising out of or in connection with these terms or the platform — whether in contract, in tort including negligence, for breach of statutory duty, or otherwise — is limited in aggregate to the greater of:
- the total fees your organisation paid us for the platform in the 12 months before the event giving rise to the claim; and
- ₹1,00,000 (one lakh rupees).
Loss neither of us can claim from the other
Neither party is liable to the other for loss of profit, loss of revenue, loss of anticipated savings, loss of business or of goodwill, or for any indirect or consequential loss, in each case whether or not it was foreseeable and whether or not the party was told it might occur. We are not liable for loss or corruption of data beyond the cost of restoring it from the most recent export or backup available to you, which is why section 13 gives you a right to export.
Investment outcomes
We are not liable for an investment decision you take or for its outcome, however much a platform output informed it. Section 9 explains why.
12. Indemnity
Yours to us, limited to content and instructions. You will indemnify us against loss, damages and reasonable costs we incur from a third-party claim that content you or your organisation put into Volery infringed that party’s rights or was unlawful, or that we processed data on your instructions without the permission you told us you had. It does not extend to anything caused by a failure of ours.
Ours to you, limited to the platform itself. We will defend you against a third-party claim that the platform, used as we intended, infringes that party’s intellectual-property rights, and we will pay the damages finally awarded or the settlement we agree. If we cannot resolve such a claim on reasonable terms, we may change the platform so the claim falls away, or end your access and refund fees paid for the unused period.
Either indemnity requires the party claiming it to tell the other promptly, to let the other conduct the defence, to give reasonable assistance, and not to settle or admit anything without the other’s consent.
13. Termination, export and deletion
You may stop using Volery at any time, and an administrator of your organisation may close its account. We may suspend or end access:
- where these terms are materially breached and the breach is not put right within 14 days of our telling you about it;
- immediately, where the breach cannot be put right, or where continuing would break the law or endanger the platform or other customers;
- on at least 30 days’ notice, where we withdraw the service.
Export
Before an account is closed, and for 30 days afterwards, your organisation may ask us for an export of its data and we will provide it in a machine-readable format. Ask at hello@sprdlx.co.
Deletion
After that, we delete your organisation’s data as described in the Privacy Policy: within 12 months of closure, except for records we are required by law to keep — our own financial, tax and accounting records, for the statutory period, which for books of account is eight years under the Companies Act, 2013 — and audit and security records we need for an investigation.
What survives
Section 4 (ownership of content), section 8 (fees already due), section 10 (disclaimers), section 11 (limitation of liability), section 12 (indemnity), this section, section 15 (governing law) and section 16 (general) survive termination.
14. Changes to these terms
We may update these terms as the platform changes. The “last updated” date above records when we last did. Where a change materially affects you, we will tell you in the platform or by email before it takes effect; continuing to use Volery after that means you accept the updated terms. If you do not accept them, your remedy is to stop using the platform and to close the account, with the export right in section 13 intact.
15. Governing law and disputes
These terms, and any dispute or claim arising out of or in connection with them or with the platform, are governed by the laws of India. The courts at Hyderabad, Telangana have exclusive jurisdiction over them, and each party submits to that jurisdiction.
This applies wherever you or your organisation is located. If you are outside India, you agree to bring any claim in those courts and not elsewhere.
Talk to us first. Before starting proceedings, tell us in writing at hello@sprdlx.co what the dispute is about, and give us 30 days to try to resolve it with you. We will do the same for a dispute we raise. That is an obligation to try, not a bar on going to court once the 30 days have passed, and it does not stop either party from seeking urgent injunctive relief at any time.
16. General
If a provision of these terms is unenforceable, it is severed and the rest continues to apply. Our not enforcing a right does not waive it. You may not transfer your rights or obligations under these terms without our consent; we may transfer ours to a successor in connection with a merger, acquisition or sale of assets.
Nothing in these terms creates a partnership, a joint venture, an agency or an employment relationship between us, and nobody other than you and us may enforce them. Notices to us go to hello@sprdlx.co or to the registered office in section 1; notices to you go to the email address on your account.
Neither party is liable for a failure to perform caused by something outside its reasonable control, for as long as that lasts — but this does not excuse an obligation to pay.
